2. Terms of Service
Read The Factory Terms of Service
1. Agreement and Scope
These Terms of Service ("Terms") apply to every quote, order and job placed with The Factory ("The Factory," "we," "us"), Riverside, California, whether placed in person, by phone, by email or through thefactorydesigns.com. By approving a quote, paying a deposit, placing an online order or uploading artwork, you ("Client") agree to these Terms.
These Terms cover all four parts of our business:
- Print: apparel, stickers, DTF gang sheets, posters, banners, window and wall vinyl, vehicle wraps and other printed graphics.
- Build: trade show booths, displays, signage structures, CNC routing, laser and metal fabrication, foam work and installation.
- Studio: custom one-off pieces, prototypes and products made in our shop.
- Design: graphic design, layout, vector work, 3D modeling and file preparation.
If a signed quote or written project agreement conflicts with these Terms, the signed document controls for that job only.
2. Quotes, Deposits and Payment
- Quotes. Quotes are valid for 30 days and are based on the specifications, quantities and timeline given at the time. Changes to size, material, quantity, artwork or schedule after approval may change the price and the delivery date.
- Deposits. Custom work requires a non-refundable deposit of 50% of the quoted total before materials are ordered or production begins. Build and fabrication jobs over $5,000 may be billed in stages (for example 50% to start, 25% at fabrication complete, 25% at delivery or install).
- Balance due. The remaining balance is due before pickup, shipment or installation unless approved credit terms are in writing. Online orders are paid in full at checkout.
- Late payment. Invoices unpaid 15 days after the due date may accrue a late fee of 1.5% per month (or the maximum allowed by law, if lower). We may hold finished work until paid in full.
- Rush work. Jobs needed faster than our standard turnaround may carry a rush fee, quoted in advance.
- Taxes and fees. Prices do not include sales tax, shipping, permits, equipment rental, parking or after-hours labor unless listed on the quote.
- Cancellations. You may cancel in writing at any time. You are responsible for design time already spent, materials ordered or cut, and work completed up to the cancellation, which may be deducted from your deposit or billed separately.
- Design fees. Design, revision and file-prep time is billed at our posted hourly rate. The quote includes up to 2 rounds of revisions; additional rounds are billed hourly.
3. Artwork, Proofs and Intellectual Property
- Your artwork. You confirm you own, or have permission to use, every logo, image, font, character, trademark and design you send or upload. We do not check ownership. We may refuse any job we believe infringes someone else's rights or is offensive, unlawful or hateful.
- Indemnity for content. You agree to defend and cover The Factory against any claim, cost or damages arising from artwork, text or designs you provide.
- File quality. We print what you send. Low-resolution, incorrectly sized or non-vector files may print blurry or pixelated. We will flag obvious problems when we see them, but final file quality is your responsibility. File fixes or redraws are billed as design time.
- Proofs. Proofs are sent for custom work. Please check spelling, phone numbers, sizes, colors and layout carefully. Your written approval (email, text or online) means you accept the proof as final, and we are not responsible for errors you approved.
- Ownership of our designs. Designs, drawings, CAD/CNC files, 3D models and concepts created by The Factory remain our property until the job is paid in full. After full payment you own the finished printed or built item and may use the final artwork for your business. Native/editable source files, cut files and G-code are not included unless purchased.
- Portfolio use. We may photograph finished work and show it on our website and social media unless you ask us not to in writing before production.
4. Production, Materials and Customer-Supplied Items
- Color. Screens, phones and home printers do not show color the same way our printers do. Printed color may vary from your screen, from previous runs, and between materials (vinyl, fabric, wood, metal). Exact Pantone matching is available only when quoted in writing.
- Tolerances. Custom-cut, routed, lasered, welded and hand-finished items may vary slightly in size, finish and fit. Natural materials such as wood and plywood vary in grain, color and edge quality. These variations are normal and are not defects.
- Overs and unders. Apparel and print quantities may run up to 3% short or over due to production spoilage. We bill for the quantity actually delivered.
- Apparel blanks. We order blanks from our suppliers based on availability. If a color or size is out of stock, we will contact you with options before substituting.
- Customer-supplied items. When you bring your own garments, materials, signs, vehicles or other items for us to print on, decorate, modify or install, you accept the risk that items can be damaged, scorched, misprinted or lost during normal production. Our liability for customer-supplied items is limited to the labor charged for that item, not the item's replacement value. Please supply 5–10% extra pieces when possible.
- Stock materials. We may substitute an equal or better material when a specified material is unavailable, and will tell you before doing so if the change affects look or price.
5. Installation, Vehicles and Trade Show Builds
- Site access and conditions. You will provide safe, clear access to the install site, power where needed, and permission from the property owner or landlord. Delays caused by blocked access, unfinished walls, wet paint or site conditions may be billed as additional labor or a trip charge.
- Surfaces. Vinyl and graphics need clean, cured, sound surfaces. We are not responsible for paint, drywall or finishes that lift, peel or are damaged when graphics are applied or removed, or for adhesion failure on textured, freshly painted (under 30 days), powder-coated or low-energy surfaces.
- Hidden conditions. We are not responsible for damage to hidden wiring, plumbing or structure when mounting into walls, floors or ceilings at locations you approve.
- Permits and codes. Unless included on the quote, you are responsible for permits, landlord approvals, HOA approvals, venue rules and union labor requirements.
- Vehicles. Vehicles must arrive clean, dry and free of wax. Factory paint, clear coat and aftermarket or repainted surfaces may lift when wrap material is removed; we are not responsible for that damage. We are not responsible for personal items left in a vehicle. Vehicles left more than 3 business days after completion may be charged storage.
- Trade show and event builds. You are responsible for confirming venue dimensions, height limits, rigging, fire codes, electrical and drayage rules. Shipping, crating, I&D (install and dismantle), and storage between shows are billed separately unless quoted. Once a build leaves our shop or is accepted at the venue, risk of loss passes to you.
- Structural items. Built items are designed for the use described on the quote. Overloading, climbing on, altering or misusing a display, fixture or piece of furniture voids any warranty.
6. Pickup, Shipping and Abandoned Items
- Turnaround. Turnaround times are estimates and start after proof approval and deposit. We are not liable for delays caused by supplier shortages, shipping carriers, weather, equipment failure or other causes outside our control.
- Pickup. We will notify you when your order is ready. Please inspect your order at pickup.
- Shipping. Shipped orders become your responsibility once handed to the carrier. Report carrier damage within 48 hours with photos so we can help file a claim. Shipping insurance is available on request.
- Storage. Finished items not picked up within 30 days of notice may be charged a storage fee.
- Abandoned items. Items not picked up and not paid for within 90 days of written notice are considered abandoned and may be recycled, sold or disposed of to recover costs, as allowed by California law. Deposits on abandoned orders are forfeited.
7. Warranty, Returns and Limitation of Liability
- Workmanship warranty. We warrant our workmanship to be free from defects for 30 days from pickup, delivery or installation. Material warranties from manufacturers (vinyl, laminate, inks, hardware) pass through to you where available.
- Reporting problems. Report any defect or error within 7 days of pickup or delivery, with photos, and before the items are used, washed, applied, altered or distributed. If the error is ours, we will reprint, repair or remake the affected items, or refund the price of those items, at our choice.
- Custom work is final. Because orders are made to your specifications, custom work is not returnable or refundable except for our own errors.
- What is not covered. Normal wear, fading, sun and weather exposure, improper washing or care, accidents, misuse, alterations by others, and damage from improper storage or installation by anyone other than The Factory.
- Limitation of liability. To the fullest extent allowed by law, The Factory's total liability for any claim relating to a job is limited to the amount you paid for that job. We are not liable for lost profits, lost business, event costs, travel, missed deadlines or other indirect or consequential damages. Nothing in these Terms limits liability that cannot be limited under California law, including for fraud, willful injury, gross negligence or violation of law (Cal. Civil Code § 1668).
- Indemnity. You agree to defend and cover The Factory against claims arising from your content, your misuse of our products, information you provided that was inaccurate, or conditions at a site you control.
8. General Terms and Acceptance
- Governing law. These Terms are governed by the laws of the State of California. Any dispute will be handled in the courts of Riverside County, California, including small claims court where eligible.
- Resolving issues. Before filing any claim, both parties agree to try in good faith to resolve the issue by talking directly for at least 30 days.
- Chargebacks. Please contact us before disputing a charge with your bank. Chargebacks filed for work that was delivered as approved may be pursued as unpaid balances.
- Changes to these Terms. We may update these Terms from time to time. The version in effect when you approve your quote or place your order applies to that job.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- Entire agreement. These Terms, together with your approved quote, proof and invoice, are the full agreement for each job.
